1. Acceptance of Terms

By accessing or using SocialPro's website, services, or courses, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These Terms of Service govern your use of the SocialPro website and all related services, including but not limited to online courses, educational materials, and community features (collectively referred to as the "Services").

2. User Registration

To access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to terminate or suspend your account at our sole discretion, without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties, or for any other reason.

3. Course Purchase and Payment

When you purchase a course or other paid Service, you agree to pay all fees associated with such Service. All fees are quoted in Philippine Peso (₱) unless otherwise stated.

Course fees are non-refundable except as described in our Refund Policy. If you believe you are entitled to a refund, please contact us within 14 days of your purchase.

Access to course content is granted for the period specified at the time of purchase. We reserve the right to modify course content and structure to improve the learning experience.

4. Intellectual Property Rights

All content included in our Services, such as text, graphics, logos, images, audio clips, video, data, and software, is the property of SocialPro or our content suppliers and is protected by Philippine and international copyright laws.

When you purchase a course, you are granted a limited, non-exclusive, non-transferable license to access and use the course materials for your personal, non-commercial use only.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

5. User Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms of Service. Specifically, you agree not to:

  • Use the Services to upload, transmit, or distribute any computer viruses, worms, or other malicious code.
  • Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.

6. User Content

Our Services may allow you to post, submit, publish, display, or transmit content such as comments, feedback, and assignments ("User Content"). By providing User Content, you grant us and our affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

You represent and warrant that your User Content does not violate the rights of any third party, including copyright, trademark, privacy, or other personal or proprietary rights, and does not contain any material that is defamatory, obscene, indecent, abusive, offensive, or otherwise inappropriate.

7. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

SOCIALPRO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOCIALPRO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
  2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
  3. ANY CONTENT OBTAINED FROM THE SERVICES; AND
  4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us for account deletion.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of the Philippines.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on our website. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
